TelPlexus, Inc. Acquired by Osmose Utilities Services, Inc.
Industry: Telecommunications Engineering Services
Role: Sell-Side Advisor

Murfreesboro, TN-based TelPlexus has been acquired by Tyrone, GA-based Osmose Utilities Services, Inc.

About the Deal:
Osmose Utilities Services, Inc., a leading provider of professional inspection, maintenance and rehabilitation services for aging utility infrastructure, has acquired TelPlexus Inc., a rapidly growing engineering services firm specializing in customized solutions for the communications industry. Hilliard Lyons Investment Banking served as the exclusive financial advisor to TelPlexus and its owner, Rick Peppers.

Founded in 1998, TelPlexus has built a solid reputation with independent and cooperative communications companies, designing and deploying next generation networks. TelPlexus provides all facets of planning and engineering to deliver fiber-to-the-premise. Services include engineering design, construction management, project management, drafting, mapping, data conversion, feasibility studies and federal funding support.

"Telplexus is an integral part of the current transformation within the telecommunications industry, helping rural carriers update their networks in order to compete in today's high-speed markets. The personal approach that Rick and his team take with their customers to provide customized, comprehensive solutions is proof that they share Osmose's commitment to customer focus and excellence," said Osmose Senior Vice President of Business Development Ron Childress.

Hilliard Lyons Investment Banking was introduced to Mr. Peppers through his Financial Consultant Yaz Hassan in Hilliard's Murfreesboro office. Hilliard Lyons Investment Banking assisted Mr. Peppers with valuation input, preparation of marketing materials and identification of numerous strategic and financial partners. Telplexus ultimately selected Osmose as the best strategic and cultural fit given the specific personal and professional goals of the owner and existing employees.

Through a comprehensive process, Hilliard Lyons Investment Banking was able to assist Mr. Peppers in analyzing both the potential returns and associated risks involved with transitioning his business. The ultimate terms and deal structure allowed for some liquidity at closing, as well as a key on-going role for the owner as President, ensuring a smooth transition for his customers, suppliers and employees.
